TERMS OF SERVICE

Effective Date: May 21, 2026

These Terms of Service (“Terms”) constitute a legally binding agreement between you and The Inspection Assistant LLC (“Company,” “The Inspection Assistant,” “we,” “our,” or “us”) governing access to and use of the Company’s software platform, websites, applications, APIs, artificial intelligence systems, computer vision tools, reporting systems, cloud infrastructure, and related services (collectively, the “Services”).

By accessing or using the Services, you agree to be bound by these Terms.

If you do not agree to these Terms, you may not access or use the Services.

1. DEFINITIONS

For purposes of these Terms:

“Account” means a registered account used to access the Services.

“AI Output” means any prediction, classification, recommendation, annotation, generated text, extracted information, auto-populated field, image analysis, report suggestion, or automated output generated by the Services.

“Authorized User” means any employee, contractor, inspector, or representative authorized by Customer to use the Services.

“Customer” means the individual or legal entity accessing or using the Services.

“Inspection Data” means inspection reports, images, videos, notes, annotations, property information, customer information, and related materials uploaded to or processed through the Services.

“Services” means all software, applications, APIs, cloud systems, AI systems, computer vision systems, reporting systems, websites, and related technologies provided by Company.

“User Content” means all data, content, files, materials, images, reports, videos, and information submitted to the Services by Customer or Authorized Users.

2. ELIGIBILITY

You represent and warrant that:

  • you are at least eighteen (18) years of age;

  • you possess legal authority to enter into these Terms;

  • your use of the Services will comply with all applicable laws and regulations;

  • and all registration information provided by you is accurate and complete.

If you access the Services on behalf of an entity, you represent that you have authority to bind that entity.

3. THE SERVICES

The Services are designed to assist home inspectors and related professionals with inspection reporting, workflow automation, image analysis, AI-assisted documentation, and operational efficiency.

The Services may include:

  • AI-assisted report generation;

  • computer vision-assisted field population;

  • automated image classification;

  • defect recognition suggestions;

  • voice-to-text functionality;

  • workflow automation;

  • report templates;

  • cloud synchronization;

  • analytics;

  • and third-party integrations.

Company may modify, improve, suspend, or discontinue portions of the Services at any time.

4. PROFESSIONAL RESPONSIBILITY

Customer acknowledges that the Services are professional assistance tools only.

Company does not provide:

  • engineering services;

  • construction consulting;

  • code compliance certifications;

  • legal advice;

  • insurance advice;

  • safety certifications;

  • professional inspection determinations;

  • or property warranties.

Customer retains sole responsibility for:

  • all inspection findings;

  • all professional judgments;

  • all report conclusions;

  • report accuracy;

  • regulatory compliance;

  • licensing compliance;

  • client communications;

  • and final inspection reports.

5. AI SYSTEMS AND AUTOMATED OUTPUTS

Customer acknowledges and agrees that:

  • AI systems are probabilistic and may generate inaccurate or incomplete results;

  • computer vision systems may fail to identify conditions, hazards, or defects;

  • AI Output may contain errors, omissions, false positives, or false negatives;

  • environmental conditions, image quality, and incomplete data may affect performance;

  • and AI Output requires independent human review.

Customer shall independently verify all AI Output prior to relying upon, publishing, or distributing any inspection report.

Company does not guarantee that the Services will identify or correctly classify all defects, deficiencies, hazards, code violations, safety concerns, or property conditions.

6. ACCOUNT REGISTRATION

Customer is responsible for:

  • maintaining confidentiality of login credentials;

  • restricting unauthorized access;

  • activities occurring under Customer accounts;

  • maintaining accurate account information;

  • and promptly notifying Company of suspected unauthorized access.

Company may suspend accounts reasonably suspected of:

  • fraud;

  • unlawful conduct;

  • security threats;

  • abuse;

  • or violation of these Terms.

7. LICENSE GRANT

Subject to compliance with these Terms, Company grants Customer a limited, revocable, non-exclusive, non-transferable license to access and use the Services for lawful internal business purposes.

No ownership rights are transferred.

8. RESTRICTIONS

Customer shall not:

  • reverse engineer the Services;

  • copy or reproduce proprietary systems;

  • scrape or harvest data;

  • create competing products using the Services;

  • circumvent technical restrictions;

  • upload malicious software;

  • interfere with platform operations;

  • access unauthorized systems;

  • or use the Services unlawfully.

9. USER CONTENT

Customer retains ownership of User Content.

Customer grants Company a worldwide, non-exclusive, royalty-free license to host, process, store, transmit, analyze, reproduce, and display User Content solely as necessary to:

  • provide the Services;

  • maintain system functionality;

  • improve system performance;

  • secure the platform;

  • create backups;

  • and comply with legal obligations.

Company does not sell User Content.

10. DATA SECURITY

Company implements commercially reasonable administrative, technical, and organizational safeguards intended to protect User Content.

However, Customer acknowledges that:

  • no system is completely secure;

  • internet transmissions carry inherent risk;

  • unauthorized access may occur;

  • and Company cannot guarantee absolute security.

Except to the extent prohibited by applicable law, Company disclaims liability arising from unauthorized access, cybersecurity incidents, or data breaches.

11. THIRD-PARTY SERVICES

The Services may incorporate or integrate with third-party systems, including:

  • cloud hosting providers;

  • payment processors;

  • AI providers;

  • mapping providers;

  • analytics services;

  • or API integrations.

Company is not responsible for third-party systems, outages, or practices.

Use of third-party services may be governed by separate agreements.

12. FEES AND PAYMENT

Subscription fees, billing cycles, payment obligations, renewal terms, and usage limits shall be governed by applicable order forms, invoices, or pricing schedules.

Unless otherwise stated:

  • fees are non-refundable;

  • subscriptions renew automatically;

  • and Customer is responsible for applicable taxes.

Failure to pay may result in suspension or termination.

13. INTELLECTUAL PROPERTY

The Services and all associated software, algorithms, AI systems, interfaces, workflows, documentation, branding, and proprietary technology are owned exclusively by Company and protected under intellectual property laws.

Except for the limited license expressly granted herein, no rights are granted to Customer.

14. DISCLAIMER OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

COMPANY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF:

  • MERCHANTABILITY;

  • FITNESS FOR A PARTICULAR PURPOSE;

  • NON-INFRINGEMENT;

  • ACCURACY;

  • RELIABILITY;

  • PERFORMANCE;

  • AVAILABILITY;

  • OR SECURITY.

Company does not warrant that the Services will:

  • operate uninterrupted;

  • be error-free;

  • identify all property conditions;

  • or generate accurate AI Output.

15. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THE SERVICES, INCLUDING LOSS OF PROFITS, BUSINESS INTERRUPTION, LOSS OF DATA, PROPERTY DAMAGE, OR PROFESSIONAL LIABILITY CLAIMS.

COMPANY’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES SHALL NOT EXCEED THE GREATER OF:

(A) THE FEES PAID BY CUSTOMER TO COMPANY DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR

(B) ONE HUNDRED U.S. DOLLARS ($100).

Nothing in these Terms excludes liability that cannot be excluded under applicable law.

16. INDEMNIFICATION

Customer shall defend, indemnify, and hold harmless Company and its officers, employees, contractors, affiliates, licensors, and agents from and against claims, damages, liabilities, losses, costs, and expenses arising from:

  • Customer’s use of the Services;

  • inspection activities;

  • professional negligence claims;

  • violation of law;

  • breach of these Terms;

  • or Customer’s User Content.

17. TERM AND TERMINATION

These Terms remain effective until terminated.

Company may suspend or terminate access immediately for:

  • violation of these Terms;

  • unlawful conduct;

  • security risks;

  • abuse of the Services;

  • or nonpayment.

Upon termination:

  • licenses immediately terminate;

  • access rights cease;

  • and Company may delete Customer data in accordance with retention policies.

18. GOVERNING LAW

These Terms shall be governed by the laws of the State of Ohio, excluding conflict-of-law principles.

19. DISPUTE RESOLUTION

Any dispute arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in Ohio.

Customer waives any right to participate in class actions or jury trials.

20. MISCELLANEOUS

These Terms constitute the entire agreement between Customer and Company regarding the Services.

If any provision is determined unenforceable, remaining provisions shall remain in effect.

Company may update these Terms from time to time.
